SOFTWARE LICENSE AGREEMENT

PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE. BY INSTALLING, COPYING, OR OTHERWISE USING VU MASTER, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. GRANT OF LICENSE

Subject to the terms of this Agreement, Signal Lab ("Licensor") grants you a non-exclusive, non-transferable, revocable license to install and use VU MASTER ("Software") on up to two (2) computers owned or controlled by you, solely for your personal or professional audio production use.

2. COMMERCIAL USE OF AUDIO OUTPUT

You are free to use the audio signals, sound designs, music, and recordings generated or processed by this Software in any commercial or non-commercial musical compositions, audio projects, broadcasts, or live performances without paying royalties to the Licensor.

3. RESTRICTIONS

You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Modify, adapt, translate, or create derivative works based upon the Software.
• Rent, lease, lend, sell, redistribute, sub-license, or host the Software on any public server or file-sharing network.
• Circumvent or attempt to disable any licensing, serial registration, or copy-protection mechanisms.

4. INTELLECTUAL PROPERTY RIGHTS

The Software and all worldwide copyrights, trade secrets, and other intellectual property rights therein are the exclusive property of Signal Lab. This Agreement grants you a license to use the Software, not ownership.

5. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, AUDIO HARDWARE/SPEAKER DAMAGE, HEARING DAMAGE, SYSTEM CRASHES, OR LOSS OF PROFITS) ARISING OUT OF THE USE OR INABILITY TO USE THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. TERMINATION

This Agreement is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any terms of this Agreement. Upon termination, you must cease all use and destroy all copies of the Software.
